1. Subject of the contract

TaxioAI provides a SaaS platform for AI-assisted preparation of tax-relevant documents. Counterparty is Next Trace – Inhaber: Hossein Bagherzadegan Talkhouncheh (see Imprint).

2. Plans and pricing

Plans available: Starter, Pro, Advisor. Current pricing and included quotas appear in the order flow. Overage billing applies only where it is explicitly stated in the contract, order form, or checkout.

3. Service-level objective

TaxioAI targets 99.5% monthly availability. Scheduled maintenance is announced at least 48 hours in advance and is excluded from the SLA.

4. Termination

Monthly contracts may be cancelled effective end-of-month; annual contracts with 30 days notice to term-end. Extraordinary termination rights remain.

5. Liability

TaxioAI's liability is limited to intent and gross negligence. For ordinary negligence, liability is limited to breach of material obligations and to the typical, foreseeable damage, capped at the fees paid in the prior 12 months.

6. Tax responsibility

TaxioAI provides preparation output. Responsibility for the correctness of the actual tax filing remains with the customer or their advisor. TaxioAI does not replace tax advice.

7. Final provisions

German law applies. To the extent legally permissible, venue is the provider seat stated in the imprint.
